The Position
' The AKFED Company Secretary will have primary responsibility for ensuring that AKFED is in compliance with all statutory and compliance requirements with the Swiss authorities. 
' As Secretary to the AKFED Executive Committee, s/he will ensure the smooth functioning of the Executive Committee meetings, preparation of agendas, suitability of submissions and consolidation of the requisite documents, preparation of minutes and follow-up of items, including action lists with attached schedules.
 
The Company Secretary will carry out the following duties: 
' Organise AKFED Statutory Meetings, draft board resolutions, prepare Powers of Attorney and review contracts.
' Review recommendations prior to Directors' signature for all AKFED legal documents, contracts, etc.
' Organise meetings, set agendas, review papers for consistent quality, prepare minutes, and follow up on action points and their attached schedules.
' Ensure that statutory audits of AKFED Switzerland are carried out in a timely manner.
' Prepare for submission the Annual report to the Swiss authorities.
' Ensure that all legal requirements are observed.
 
The Requirements
The position requires an individual with a recognised accounting or legal designation and at least 5-7 years of experience as a company secretary in England or Europe. The candidate must be completely bilingual in English/French. The position requires good organisational skills, excellent writing skills, the ability to work independently, multi-task, work under pressure and liaise with multiple stakeholders.
 
Multi-cultural sensitivity is essential. Previous experience in an international organisation would be highly desirable. Should have experience in working with a diversity of projects, organisations and stakeholders.
